i) How long is the investment locked in and can investors exit right after they get the I-829 approved or are they locked in for 5-9 years?
j) Do investors have a right to kick out corrupt or incompetent managers and employees?
k) How much are their fees and what is the breakdown? This is to identify the junk fees.
l) What is their money back policy?
m) How much equity have the promoters invested and how much money (salary / share of profits / benefits, etc.) are they getting?
n) Are officers and directors hired in an objective and competitive fashion or do they hire related persons such as girlfriends, friends, wives, nephews, etc.?
o) Have investors ever exited with a capital gain?

I believe the above affidavits should be a good starting point to detect and prevent fraud committed by regional centers / partnerships / franchise marketers. Those entities that don't disclose all material information or engage in conflict of interest and nepotism should be avoided by EB-5 visa seekers. Here's another great example of UNDISCLOSED conflict of interest. Regional centers may be dying due to ICE / SEC / IRS + FBI probes, but their fraudulent practices continue to be adopted by dishonest crooks.

EB-5 visa FRAUD ALERT: EB5LA.com and EB5ondemand.com appear to bear classical signs of fraud!

The owners of the above site seem to be quite particular about hiding their identities and in my experience as a Certified Fraud Examiner, this looks like a bunch of frauds. They make no mention of their name, their domain info is also hidden with an anonymous service provider, they use an untraceable Google voice phone number and they definitely don't even list names and addresses, and they aren't listed with the CA Secretary of State or the CA DRE. A CA DRE issue RE License is REQUIRED to engage in business brokerage, and they don't have it. They claim to be an experienced bunch of professionals with the original franchising formula, and I'd like to know why is it that I've never heard of them in 10 years???

Call me skeptical, but frankly, this website looks and smells of FRAUD. Stay away from these guys!

The folks at IIUSA seem to think that mere posturing is enough to hoodwink smart EB-5 visa seekers. What are the crucial Questions that IIUSA lawyers and members hate to answer?

The difference between a GENUINE Direct Investment Business petition versus the "Regional Center Lite" option now being marketed by law firms such as Greenberg Traurig to crooks who realised that regional center model is now dead!

2 years ago, I went on the LinkedIn forums in an effort to educate more people about the drawbacks of regional centers, and I was ridiculed, insulted and even blocked from some forums by regional center promoters and crooked marketing agents such as Brian Su, Varun Gupta and their ilk. 2 years down the line. I see that those who used to market regional centers are now abandoning them in droves in favour of pseudo regional centers, by claiming that their Direct Investments are safe, when in reality their direct investments are not direct investment businesses at all, just regional centers in another name. Pouring old wine in a new bottle doesn't change it's flavour, and marketing the same terrible business model under another name doesn't make it better, as at the end of the day, the securities law violations, securities fraud, Lack of accountability, lack of control, pathetic ROI, capital losses and truly shitty exit strategies that we saw in regional centers also exist in those "Direct Investments" that see pooled investments of 2 or more EB-5 visa investors.

I just saw this article at http://www.natlawreview.com/article/eb-5-visa-step-step-direct-investment-model by Kate Kalmykov from Greenberg Traurig (and yes folks, it's THE Greenberg Traurig that has been mentioned in scandalous stories such as Jack Abramoff, etc.)

According to Ms. Kalmykov, the project goes to market, but it seems that she conveniently glosses over the fact that if US securities are being marketed overseas, they need the approval of overseas regulators to do so. Failure to do so is a clearcut violation of US and overseas securities laws. Moreover, failure to disclose the material fact that the securities were being illegally marketed and sold constitutes securities fraud under US laws. However, those are simply distractions, compared to the real issues:

  1. At the end of the day, any pooled "Direct Investment" with 2 or more EB-5 investors is  basically a wolf in sheep's clothing, and has the same drawbacks that you'd see in a regional center: Lack of accountability, lack of control, pathetic ROI, capital losses and truly shitty exit strategies. A true "Direct Investment Business" usually has only one EB-5 visa seeker per business.
  2. Failure to disclose material facts and conflict of interest:  I've personally verified that those who try to get EB-5 investors to invest in not so great franchises fail to disclose their financial incentives to do so. An honest business broker will only advise his clients to opt for safe franchises with proven track records such as KFC, 5 Guys, McDonalds, etc. or equally safe businesses such as used car lots, convenience stores etc.
  3. Exit strategies: Any business that has investor funds locked in for 5-9 years and doesn't permit the investor to sell and exit upon approval of their I829 is to be avoided, as it is basically a loss making regional center in disguise.
  4. A regional center or Partnership promoter who is fraudulently misleading EB-5 visa investors by claiming his partnership is a direct investment business can be easily caught by asking a simple question: How much money is the promoter putting and what is the promoter's share of equity and profits?
  5. Every partnership or regional center I know of has had EB-5 visa investors lose all or part of their capital. In contrast, in 10 years, I've yet to see my clients experience capital loss. 
  6. In 10 years, I've yet to see regional center / partnership investors earn more than 1% annually, whereas my clients have earned between 15% and 50% annual return, with typical ROI of 22%.
  7. Approval times are much longer when regional centers or partnerships are involved, and are a lot shorter when they aren't involved.

Anthony Rodham & Terry McAuliffe going under soon enough, which regional centers will be next? Brian Su actively misled EB-5 visa investors while promoting regional centers, and so did others such as Fred Burgess, Joe Sloboda, etc.

If politically powerful and connected people such as Gubernatorial Candidates and brothers of former senators (and brother in law of a former president) aren't immune, what chance do others have? This isn't the first failed regional center that Brian Su promoted, and this won't be the last.   2. Does the Broker offer an unconditional fee refund in case a client is denied due to incompetence, negligence or malfeasance on the part of the Broker or Broker's affiliates?
  3. Does the Broker have a long track record?
  4. Does the Broker only steer clients towards safe and established franchises such as 5 Guys / KFC / McDonalds / Subways / 7 Eleven etc. or does the Broker steer clients towards riskier franchises such as Marcos Pizza (Brian Hall) and Voodoo Barbeque (Fred Burgess)?
  5. Does the Broker have a policy of 100% disclosure of all material facts and strict policy against conflict of interest, or does the Broker have a policy of engaging in conflict of interest such as Burgess does with Voodoo?
  6. Does the Broker have a past history of dealing honestly and ethically, or are they like Brian Su, Kevin Jeffers, Chaim Katzap and Fred Burgess, who've helped swindle hundreds of EB-5 visa seekers out of millions of dollars by failing to disclose material information and violating securities laws?

The only safe option for EB-5 visa seekers is to choose Direct Investment Businesses. For $500,000 investment, Investors can start an auto parts store or 2 convenience stores or a Subway sandwich shop or day care or 2 Mexican fast food outlets or 2 used car lots or 3 scooter & motorcycle dealerships in Brooklyn (NY) or LA County (CA) or Fort Pierce (FL). These are just ideas off the top of my head. They can also take bank loans and start a KFC & Taco Bell Locations or banquet halls or other similar businesses, and basically the businesses would depend on the customer’s preference on location and type of business they’d like to run.
