DHS whistleblower sparks fresh investigation of irregularities in regional centers out to defraud EB-5 visa investors. Now even DHS insiders say regional centers are fraudulent and will cause losses!

I just read an article about a DHS employee who noticed massive irregularities in the EB-5 visa program (see link http://www.examiner.com/article/dhs-whistleblower-reveals-corrupt-eb-5-visa-program ) and I now understand that the DHS is finally conducting a full scale audit of the suspicious transactions.

How can EB-5 visa investors avoid being defrauded?

I recently read this investor alert http://www.sec.gov/investor/alerts/ia_immigrant.htm, issued by the SEC warning EB-5 visa seekers about fraud committed by regional centers and other partnerships. Most EB-5 visa seekers don't get their permanent green card if they've applied through a regional center or partnership.

All EB-5 visa seekers should ask the following questions of regional centers and partnerships to detect and prevent fraud:

1) What is the mean and median amount of capital loss experienced by EB-5 visa seekers who invest in your regional center or partnership?

Capital loss is very commonly experienced by EB-5 visa investors in regional centers and other partnerships.

2) What is the mean and median processing time for regional center sponsored I-526 and I-829 petitions?

EB-5 visa petitions filed by regional centers and other partnerships now take about twice as long as Direct Investment businesses to get approved.

3) What is the mean and median lock in period for capital in regional centers?

EB-5 visa investors are usually stuck for 5-9 years in regional centers.

4) What is the mean and median annual ROI that is offered by the partnership / regional center?

EB-5 visa investors usually earn 1% or less in regional centers.

5) Are the business founders, CFO and CEO willing to offer written guarantees of FULL disclosure of material facts on an ongoing basis as well as freedom from fraud and conflict of interest?

Avoid those who refuse to guarantee this in a notarised affidavit.

6) Are you offering and selling securities in full compliance of US and overseas securities laws?

Avoid those who refuse to confirm this in a notarised affidavit.

A simple way for EB-5 visa investors to detect & prevent fraud is to demand the following safeguards from those who offer EB-5 visa related services:

1) A written guarantee by the top 5 officers of the regional center / partnership firm AND the marketer, confirming that they will clearly disclose all material information on an ongoing basis, as failure to do so is classified as SECURITIES FRAUD.

EB5fraud.com is another fraud website that copies and pastes my material, and posts fake reviews from fake reviewers!

I just looked at an apparently fraudulent EB-5 review site appropriately named "Eb5fraud.com". I looked at the website listing and it says that the domain owner is anonymous, and I'm sure that it is owned by a crook out to defraud EB-5 visa investors.

I read an article on that website (see link http://eb5fraud.com/?page_id=10#comment-13 ) and as usual, my poor competitors can't even get their stories straight. If they were honest, they'd write to me or even post under their own names. I'm 100% confident that these comments are made by lying crooks and would like to make an offer to the Chinese lady:

Substantiate your claims by getting a Consular official to give a letter in writing on Consular stationery, what  you claimed they said orally, and I will be happy to give you USD 1,000. You are free to email the letter to me. You have till Friday to do so. In case you fail to substantiate your lies, please stop bothering us with your pathetic lies that are part of a strategy to retaliate against my campaign to expose fraud against EB-5 visa investors.

I know that since few years when I exposed regional centers in the act of fraud and also exposed several unscrupulous individuals such as Mark Hyman, Brian Su, etc. for trying to defraud EB-5 visa investors, they've now resorted to using false allegations to try and discredit me.

To my potential clients, whenever jokers like these make false claims about me, just use your common sense and ask them the following questions:

1) Why did you first claim to meet Mohammed and now say you didn't meet Mohammed?

EB-5 visa investors should remember that FRANCHISES can definitely be the best option for them, but partnerships and third rate franchises are as bad as regional centers for EB-5 visa investors..

I just read an article by Phil Cohen (see link http://info.starteb5.com/bid/320165/franchises-can-be-the-best-path-to-eb5-for-many-investors?utm_source=linkedin&utm_medium=social&utm_content=2663308#! ), who seems to have copied my lines in trying to convince EB-5 visa investors that franchises are the best option for them, and (not surprisingly) at the end, he tries to slyly convince EB-5 visa investors to opt for partnerships with "experienced operators". A quick glance at the authors reveals a list of guys (see http://www.starteb5.com/about-the-authors.html) who've helped regional centers that have collectively defraud over 2500 EB-5 investors, and have only recently started dabbling in Direct Investments after my constant campaign against regional centers finally resulted in multi-agency investigations and actions against regional centers.

However, as the saying goes, 'You can't teach an old dog new tricks', and it seems that you can't teach crooks addicted to OPM (Other People's Money) how to earn money honestly by helping people.

Maybe Phil Cohen should explain in his article why he believes EB-5 visa investors are dumb or unable to run their own business, because in the past 10 years, 60 EB-5 visa clients of mine have done just fine running their own business, and of them only a dozen or so had any prior experience running a business. Mr. Cohen seems to be unaware that franchisors usually TRAIN their franchisees on how to profitably run their business, as franchisors (like Real Estate Brokers), make money only when their clients make money. Mr. Cohen also seems to forget that we actually offer full support (business advisory, legal and accounting) to our clients till they get their I-829, which helps our clients have a very high chance of getting their EB-5 visa in a usually profitable and safe manner. He doesn't mention that with his deal, an EB-5 visa investor will end up getting low profits and also lose a significant chance to earn capital gains in the way my clients do.

This is the reason I advise my clients to advise partnerships and regional centers: They are great for crooks but not so great for EB-5 visa investors.

It is certainly true that several franchises are great for EB-5 visa investors, the sad truth is, most franchises are third rate and are NOT so great for EB-5 visa investors. I personally advise my clients to avoid franchises such as Marcos Pizza, Voodoo BBQ, and other similar third rate franchises, and instead refer to the list of top franchises at http://www.slideshare.net/MohammedShaikh4/2012-top200 to select only those franchises which have a strong track record. A franchise that doesn't fit in the top 100 is usually not so great to invest in.

EB-5 visa investors need to keep the following factors in mind:

EB-5 visa investors should remember that my dishonest competitors make false allegations anonymously because I'm hurting their business of fraud. Only those with integrity speak openly and fearlessly.

A potential customer asked me about an anonymous post some disgruntled competitors put about me online, and I was quite shocked at seeing the levels people stoop to, to get business. EB-5 visa investors need to take 3 important steps to significantly reduce the potential for fraud against themselves.

There is no shortage of crooks who will try to get EB-5 visa investors to invest in truly terrible deals for either regional centers or partnerships, which are usually regional centers in disguise, and have the same characteristics of conflict of interest, failure to disclose material facts, terrible exit strategies, really low (or often no) return on investment, high rates of EB-5 visa petition rejection, etc.

EB-5 visa investors should remember that since April 2013, crooks have been scrambling to avoid having a US presence while dealing with EB-5 visa seekers and have also been scrambling to ensure that the securities offering does NOT exceed $500,000.

EB-5 visa investors may wonder WHY is that?

Generally speaking, the SEC does not have jurisdiction over securities offerings and sales activities that occur exclusively overseas; that is, if a finder's selling activities are conducted solely overseas, the finder is not a U.S. person, and the finder otherwise has no jurisdictional nexus with the United States.

Why should you choose Direct Investments instead of partnerships or regional centers?

As a rule of thumb, the safest, fastest and usually most profitable way to get an EB-5 visa is to start a business using either a premium franchise in businesses such as fast food, auto parts, family entertainment centers, child care, car rentals, etc. or non-franchise businesses such as skating rinks, produce markets, banquet halls / conference venues, used car lots, etc. Even if an EB-5 visa investor wishes to travel back and forth between the US and abroad, they can still put in place a good management team to operate their business and remotely monitor and manage their business in a far safer and usually VERY profitable manner.

1) Direct Investment based EB-5 visa petitions usually get approved in about half the time it takes to get approved based on regional center based petitions.

2) You will usually NEVER find conflict of interest or fraud in Direct Investment Businesses owned solely by an EB-5 visa investor, but you will almost always find conflict of interest and fraud in partnerships and regional centers.

3) The ANNUAL ROE in Direct Investments is usually 20-35% while the annual ROE in regional centers & partnerships is either NOTHING or a measly 1%.

4) It easy to sell and exit from a Direct Investment Business and quite hard to sell and exit from regional centers and partnerships. The easy exit strategy helps an investor in Direct Investment Businesses have full control of their funds, their business and their lives.


What can an EB-5 visa investor do to avoid exposure to fraudulent securities offerings?


In a small minority of cases, an EB-5 visa investor may decide that they wish to just take a huge risk and invest their funds in a partnership or regional center, both of which are actually bad choices due to conflicts of interest, etc.

In this case, it is important that an EB-5 visa investor take 3 important steps to avoid fraud:

1) The EB-5 visa investor should insist that the securities offering document is MAILED from the US and returned to the US, in order to get the same high standard of protection under US securities laws that US investors get.

2) An EB-5 visa investor should insist on investing at least $500,001 in the venture, as that would force the regional center or partnership to include CPA audited financial statements, and this helps to significantly reduce the potential for fraud.

3) The EB-5 visa investor should also demand that the officers and promoters of the partnership or regional center as well as the marketing agents offer the following guarantees in a notarized affidavit:

a) A written guarantee by the top 5 officers of the regional center / partnership firm AND the marketer, confirming that they will clearly disclose all material information on an ongoing basis, as failure to do so is classified as SECURITIES FRAUD.

b) A written guarantee that the marketer and regional center / partnership officers will NOT engage in conflict of interest, and will procure goods / services and hire employees in a transparent and competitive manner.

c) A written guarantee to fully refund an investor's fees in case the investor's petition is rejected due to the fault of the regional center.

6 weeks ago I mentioned that I suspected Ms. Anna Barella was someone who was actively involved in aiding and abetting fraud against EB-5 visa investors. I guess I was right!

In September 2013 I reviewed an article by Ms. Anna Barella (see http://eb5-expert.blogspot.com/2013/09/i-read-article-that-i-suspect-was.html) and immediately raised my doubts that she is potentially involved in aiding and abetting fraud against EB-5 visa investors.

I've now discovered that from April 2012 onwards, Ms. Barella was indeed working with people who've illegally offered and sold securities themselves for years to EB-5 visa investors and in the process, have also committed securities fraud: Mr. Fred Burgess and Mr. Joe Sloboda. As is the norm with the folks from Exclusive Visas, Ms. Barella failed to disclose her affiliation with Exclusive Visas and also concealed her motives for her opinions. The apparent conflict of interest was not concealed for too long, and now the world knows just why did Ms. Barella voice those particular opinions: It was not to help EB-5 visa investors, it was to help illegally offer and sell US securities overseas. Exclusive Visas may have also fraudulently offered and sold franchises in Voodoo BBQ to EB-5 visa investors without disclosing their pre-existing master franchisor relationship with Voodoo.

When I step in to help EB-5 visa investors, I make it clear from the onset that I am there to provide services for fees and I also ensure that I don't have any undisclosed conflicts of interests, unlike Ms. Barella with her articles that don't disclose her actual industry affiliation or Mr. Burgess & Mr. Sloboda making money off of EB-5 visa investors in an unethical and probably illegal manner.

EB-5 visa investors need to keep 1 important fact in mind: in most instances securities license holders do NOT owe fiduciary duties to EB-5 visa investors, while in ALL instances, a Business Broker who is also licensed as a RE Broker owes a fiduciary duty to their principal, if the Broker is hired to represent the EB-5 visa investor. Fiduciary duty means putting the client's interests ahead of one's own interests.

It is quite common for honest and diligent RE brokers to offer a guarantee of freedom from conflict of interest and fraud, while crooks who try to lure EB-5 visa investors into investing in worthless regional center securities / partnerships / third rate franchises will always refuse to offer the following safeguards to EB-5 visa investors:

1) A written guarantee by the top 5 officers of the regional center / partnership firm AND the marketer, confirming that they will clearly disclose all material information at the very onset and on an ongoing basis. In the US, failure to disclose material information by sellers of securities is classified as SECURITIES FRAUD.

2) A written guarantee that the marketer and regional center / partnership officers will NOT engage in conflict of interest, and will procure goods / services and hire employees in a transparent and competitive manner.

3) A written guarantee that they will fully refund an investor's fees in case the investor's petition is rejected due to the fault of the regional center.

4) A full disclosure of what is the amount of capital that the firm's founders and investors have invested and what is the percentage of ownership stake and profits that they will get.

E3 Investment Group is misleading EB-5 visa seekers & may be using separate entities per investor in order to avoid the new JOBS Act requirement of audited financials for capital raise over $500,000!

I reviewed the E3 website at http://e3ig.com/direct-vs-regional-center-based-investments and noticed that it was quite misleading. They imply that their "Scalable Direct" model is way better than Genuine Direct Investment Businesses as it has a better ability to create jobs and offers investor control as well as a quicker return of capital, and to these false claims, I say, "Nonsense!"

Let us examine in detail the reasons why their claims are FALSE and may actually qualify them to be charged with securities fraud.

1) First and foremost, they still haven't had even 1 approved I-526, and as such, don't have a track record on which to base their flimsy claims.

2) Second, in most instances, Genuine Direct Investment Businesses actually do have dedicated management teams, with the investor managing the business while the workers run it. When the EB-5 visa investor manages their own business, they save $15,000 in management fees EACH month, which is equivalent to $180,000 a YEAR of income going straight to the EB-5 visa investor.

3) The E3 Investment Group website claims that their model has a better ability to create jobs, and I say that is a lie, because a) they don't have any operating history yet to substantiate their claim, and b) I am willing to have an independent panel of 3 randomly selected CPA's review a Genuine Direct Investment Business against the E3 business model to confirm that on any given day of the week, Genuine Direct Investment Businesses will always outperform the E3 business model in profitably generating the required 10 jobs for an EB-5 visa investor.

4) The E3 Investor Group website falsely claims that the investor has control, when the fact is, the investor has limited control and can't even sell whenever they want to sell, in order to exit their business. In contrast, our clients always have FULL control of their business and their funds, due to which they're able to avoid the conflict of interest and fraud that is seen in partnerships and regional centers, and can exit whenever they want.

5) The E3 model falsely claims shorter processing time, when the fact is, they still haven't received even a single approval (because AFAIK, they haven't applied for an EB-5 visa till date). I believe that they may take longer than a genuine Direct Investment Business to get an I-526 approval as securities laws are involved.

6) It is also my belief that the sole reason they're limiting each entity to $500,000 per investor is to avoid the new JOBS Act requirement of capital raises of over $500,000 to provide CPA audited financial statements. In any EB-5 visa investment that involves regional centers and partnerships, it is VERY IMPORTANT for EB-5 visa investors to insist that the subscription agreement be received, signed and delivered within the US and that the amount of the investment be at least USD 500,001, so that the EB-5 visa investor gets a lot of the protections of the JOBS Act, including CPA audited financials. This way, EB-5 visa investors will get a more complete picture and also get to avoid the false statements that regional center and partnership promoters publish in their marketing collateral and on their websites.

Crooks are like opium addicts, they're addicted to OPM (Other People's Money). I believe that E3 Investment Group is a scam, and will definitely cause losses to EB-5 visa investors who choose them.

I saw a pretty snazzy press release being touted by Nenad Radu about E3 group (http://www.reuters.com/article/2013/11/07/idUSnGNX61qzRw+1c2+GNW20131107#!) , and decided to speak with their Managing Director, Matt Gordon to understand their business model. After a detailed conversation with Mr. Gordon, I have come to the conclusion that E3 Investment Group's EB-5 visa offering is terrible and most likely fraudulent too for the reasons listed below:

1) Mr. Gordon told me that they will return the money after the investor gets his EB-5 visa, but they don't put it in writing in order to avoid running afoul of USCIS rules. Well Mr. Gordon, it is a good idea to not violate laws and what you just did is ILLEGAL. If you dispute this fact, please dispute it under penalty of perjury and then let me offer some interesting rebuttal evidence.

2) He also told me that the administrative fee they charge is $60,000 and the immigration lawyer charges $15,000 or more to file the I-526, which makes the total cost rise to $75,000. This is about the same that we'd charge, except we offer a 100% fee refund guarantee in case of denial on our part at any stage, while they don't.

3) Mr. Gordon mentioned that the EB-5 investor would get a 51% stake in the venture for a $500,000 investment while their firm would get a 49% equity stake without putting in a penny of equity. In US markets, deals like these are rejected by investors.

4) Mr. Gordon mentioned that that they are targeting a 6% annual return to the investor AFTER taking a $15,000 monthly management fee for themselves on top of other expenses such as payroll, taxes, etc. Mr. Gordon mentioned that they would take any profits on top of the 6% paid to the investor. This is truly absurd, as it means that the annual management "fee" charged by E3 is more than the returns an investor would earn over 3 years.

5) Mr. Gordon mentioned that the investor would get their $500,000 back and any capital gains (which I expect to be in excess of $2-300,000) would go to them. Mr. Gordon acknowledged that till date they haven't received a single I-526 approval and I believe they are violating securities laws by failing to offer CPA audited financial statements as part of their offering.

What E3 is doing is basically what regional centers are doing: Offering zero management in exchange for a lion's share of the operating profits and pushing all the risk onto the EB-5 investor without investing a penny of their own. In contrast, our clients usualy see about 4-6 times more in annual returns and also get the advantage of capital gains when (and IF) they choose to sell. Even EB-5 investors who manage their business part time usually earn at least 4-5 times what an investor would earn from E3 Investment Group. The E3 proforma financials forecasts a return of capital in 5 years (if the EB-5 investor is lucky) and is designed to prolong the entire EB-5 visa process. Our clients actually have a much shorter process simply because we know that the longer it takes our client, the more we end up paying to the attorney and CPA. Our clients can exit the day after they get their I-829 approval, while those who opt for E3 are STUCK as they'd be stuck in regional centers or other dubious partnerships. At the end of the day, there is too much conflict of interest, where the EB-5 visa investors funds are used to pay Hussar owned entities for "services", without disclosing just how much additional profit Hussar is making off the services related businesses that have a captive market in the form of the EB-5 visa investor's business.

One of my competitors gives another example of why EB-5 visa investors should only work with experienced and knowledgeable professionals.

I just read an article at http://foreignirg.com/blog/bid/270624/E-2-Business-Plan-Requirements-Source-of-Funds where the anonymous author claims, "A last general detail, not less important, is that for any business visa petitions, the source of funds has to be from outside of the US. Regional centers are running scared of the SEC and are now refusing to sign up EB-5 visa investors in the US.

US Securities laws offer significantly enhanced protections to investors, and due to the recent surge in SEC driven enforcement action against regional centers and unscrupulous partnership promoters, a new business practice has emerged amongst regional centers and partnerships, where they are simply refusing to sign up EB-5 visa investors within the US in order to avoid prosecution and liability for fraud and violations of securities laws.
